Terms of Service
These terms govern your use of JuryForge, a courtroom simulation, legal research and drafting service built and operated by Eterlio. They contain important limits on our liability, an indemnity from you, and rules about the material you upload. Please read them carefully. By creating an account, accepting an invitation or using JuryForge, you agree to them.
The key points
- JuryForge is a simulation. Its judges, juries, witnesses and counsel are simulated, and their rulings, verdicts and scores have no legal effect and do not predict real outcomes.
- JuryForge does not give legal advice and is not a law firm. AI Output can be wrong or invented, and you must verify it against primary sources before relying on it.
- Uploading real case files, client documents or personal data is your decision and entirely your responsibility, including confidentiality, privilege, consent and data protection.
- You must tell participants and obtain consent before recording anyone.
- Our liability is limited, the Service is provided as is, and you indemnify us for your content and your use of the Service.
- These terms are governed by the laws of Ghana.
1. Agreement to these terms
These Terms of Service are a binding legal agreement between you and Eterlio, the company that builds and operates JuryForge. They apply to the JuryForge web application, the website, live hearings and meetings, guest links, emails and every other part of the service, together called the Service.
You accept these terms when you tick the box or click the button that says you agree, when you create an account, when you accept an invitation, or when you otherwise use the Service. Acceptance given electronically is valid and binding under the Electronic Transactions Act, 2008 (Act 772). If you do not agree, do not use the Service.
If you accept these terms on behalf of a law firm, university, school, chambers or other organization, you confirm that you have authority to bind it, and "you" includes that organization. If you do not have that authority, you must not accept on its behalf.
Our Privacy Policy and Cookie Policy, any plan details shown when you subscribe, and any written agreement or order form signed by Eterlio form part of these terms. If a signed agreement conflicts with these terms, the signed agreement wins for the matters it covers.
2. Meaning of key words
In these terms:
- "Eterlio", "we", "us" and "our" mean Eterlio, the operator of JuryForge, and its officers, employees and contractors where the context allows;
- "you" means the person using the Service and, where relevant, the organization that person represents;
- "Organization" means a law firm, university, school or other workspace created on JuryForge, including personal workspaces;
- "Your Content" means anything you or your Organization upload, type, record or create in the Service, including cases, files, evidence, transcripts, recordings, prompts, documents, contracts, playbooks, grades and messages;
- "AI Output" means any text, ruling, verdict, score, argument, question, objection, citation, summary, draft, voice or other material produced by artificial intelligence within the Service;
- "Simulation" means any practice hearing, trial, mock court, moot, lecture exercise, competition, scenario or role play in the Service, whether run by AI, by people, or both;
- "Guest" means anyone who joins a hearing, meeting, client portal or other part of the Service through a link or passcode without their own account.
3. JuryForge is a simulation
JuryForge is a training, practice and preparation tool. Every courtroom, hearing, trial, judge, magistrate, juror, witness, opposing counsel, clerk and court officer in the Service is simulated, whether the role is played by artificial intelligence or by another user.
Nothing that happens in the Service is a proceeding of any court, tribunal, arbitral body or regulator. No ruling, verdict, sentence, order, judgment, score, grade, ranking or other result produced in the Service has any legal effect, binds anyone, or creates any right or obligation.
Results in the Service are not predictions of how a real court, judge, jury or tribunal will decide. Real outcomes depend on facts, evidence, law, procedure and people that the Service cannot know or reproduce. You must not treat any simulated result as an indication of the merits, value or likely outcome of a real matter.
Practice scenarios, case files, parties, witnesses and characters provided by JuryForge are fictional or adapted for teaching. Any resemblance to real persons, cases or events is coincidental unless we say otherwise.
You must never present a simulated result, AI Output or anything produced in the Service as a real court decision, an official record, a legal opinion or evidence, and you must never use the Service to mislead any court, tribunal, client, examiner or other person.
4. Not legal advice and no lawyer-client relationship
Eterlio is a technology company. It is not a law firm, does not practise law, and does not give legal advice. Nothing in the Service, including research answers, drafts, contract reviews, risk assessments, strategies and AI Output, is legal advice or a substitute for advice from a qualified lawyer who knows your matter.
Using the Service does not create a lawyer-client, fiduciary or confidential professional relationship between you and Eterlio. Communications with the Service are not protected by legal professional privilege because of anything Eterlio does.
Lawyers, lecturers and other professionals who appear in the Service, including in directories, profiles or invitations, are independent. Eterlio does not employ, supervise, vet, endorse or guarantee them and is not responsible for their advice, conduct or fees.
5. Artificial intelligence and AI Output
Many features of the Service use artificial intelligence, including AI judges, counsel, witnesses and juries, legal research, drafting, contract review, risk assessment, strategy, transcription, grading assistance and generated voices. Some of these features send your prompts and the context needed to answer them to third-party AI providers listed in our Privacy Policy.
AI Output is generated automatically and may be wrong. It can be incomplete, out of date, biased, inconsistent, written for the wrong jurisdiction, or entirely invented. It can cite cases, statutes, rules or quotations that do not exist or that do not say what the output claims. The same request can produce different answers at different times.
- you must check every AI Output against primary sources, such as official law reports, statutes and rules of court, before relying on it;
- you must not file, serve, submit or send AI Output to any court, tribunal, regulator, client or other person without independently verifying it and taking full professional responsibility for it;
- you must comply with any rule, practice direction or instruction that requires you to disclose or limit the use of artificial intelligence;
- you are solely responsible for every decision you make, and every action you take, based on AI Output.
Eterlio makes no promise that any AI Output is accurate, complete, lawful, current or suitable for any purpose, and accepts no liability for any loss that results from relying on it.
6. Real case files and client information are your responsibility
JuryForge is built for simulation, practice and preparation. It does not require real client files to work, and Eterlio does not ask you to upload them. If you choose to upload, type, record or share real case files, pleadings, evidence, client documents, privileged communications, or information about real people, that choice is entirely yours and you carry all of the responsibility and risk that comes with it.
Before you put any real material into the Service, you confirm and promise that:
- you are legally entitled to use and share it, and you have every instruction, consent and authorization required from your client, your firm, your institution and any other person who owns it or is described in it;
- doing so does not breach any duty of confidentiality, legal professional privilege, rule of professional conduct, court order, protective or sealing order, reporting restriction, contempt or sub judice rule, contract, or law, including the Data Protection Act, 2012 (Act 843);
- you have anonymized, redacted or minimized personal and identifying details wherever the purpose allows, and in every case for children, victims of sexual offences, protected witnesses and anyone the law protects from identification;
- you will not upload state secrets, classified material, sealed or restricted court records, or material you are prohibited by law or order from disclosing;
- you accept that the material will be stored on and processed by our systems and by the service providers named in our Privacy Policy, some of which are located outside Ghana, including AI providers when you use AI features on that material.
Eterlio does not review, verify, screen or monitor Your Content and has no duty to do so. Eterlio makes no promise that uploading material to the Service preserves privilege or confidentiality, and is not liable for any breach of confidentiality, loss of privilege, regulatory or disciplinary action, data protection claim, claim by a client or any other loss that arises from your decision to put real material into the Service. You indemnify Eterlio against all such claims, as described in the Indemnity section.
7. Your professional responsibility
If you are a lawyer, pupil, legal practitioner, lecturer or other professional, you remain fully and solely responsible for your professional obligations, including those under the Legal Profession Act, 1960 (Act 32), the rules of the General Legal Council and the Ghana Bar Association, and the rules of every other body that regulates you.
That responsibility includes supervising anyone you allow to use the Service, checking all work before it leaves your hands, protecting client confidences, managing conflicts of interest, meeting deadlines and limitation periods, and deciding whether and how to use the Service for any matter. The Service is not a case management, calendar or deadline system of record and must not be relied on to protect a filing date or limitation period.
8. Recordings, transcripts and consent
Live hearings, meetings, lectures and practice sessions can be recorded and transcribed. Whoever starts a recording or transcript is responsible for telling every participant, obtaining any consent the law requires before recording begins, and using the recording lawfully afterwards.
You must not record, transcribe, capture, broadcast or share any person, session or screen without their knowledge and any consent the law requires. Automatic transcripts and captions are produced by software, including your browser, and may be inaccurate; they are not an official record of anything said.
9. Who can use JuryForge
You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract. A student who is at least 16 may use a student account only with the consent of a parent or guardian, or through an institution that has obtained that consent and accepts responsibility for it.
The Service is offered only in the countries we support. You must not use a VPN, proxy or false details to reach the Service from a country where it is not offered, and you must not use it if you are barred from receiving it under any sanctions or export law. We may refuse, limit or end access in any country at any time.
10. Your account and its security
Give accurate and complete details when you register and keep them up to date. Student accounts may require a valid school email address, and we may ask you to verify your email, identity, institution or eligibility at any time.
Each account is for one named person. You must not share your account, password, sign in links or seat with anyone, create accounts by automated means, or hold an account that we have previously closed.
You are responsible for everything done through your account, whether or not you authorized it, until you tell us that it has been compromised. Use a strong password, keep sign in links private, sign out of shared devices, and contact us immediately at the address below if you suspect unauthorized access.
11. Organizations, administrators and members
The person who creates an Organization accepts these terms for it. The Organization, through its owner and administrators, controls its members, roles, seats, settings, billing, features and content, and is responsible for making sure every member and Guest it admits follows these terms.
If you join an Organization, its owner and administrators can see, manage, export and delete the content you create in it, can change your role, and can remove you. Content you create inside an Organization belongs to that Organization and stays with it if you leave or are removed. Disputes between members and their Organization are for them to resolve.
The Organization is responsible for the lawful basis on which it adds people and their personal data to the Service, including members, students, clients, witnesses and parties named in its matters.
12. Universities, schools and students
Institutions are solely responsible for their courses, lectures, coursework, timetables, attendance, assessments, grades, competitions and academic decisions, and for how they use AI Output in teaching or assessment. Eterlio does not award, verify or guarantee any grade, credit, certificate, ranking or qualification.
Results in the Service are not a professional qualification, call to the bar, licence or accreditation, and must not be presented as one. Students remain bound by the academic integrity rules of their institution, including any rules about using artificial intelligence.
13. Guests, clients and shared links
Members can invite Guests, such as clients, witnesses, examiners or observers, to hearings, meetings and client portals using links and passcodes. The member and Organization that issue a link are responsible for who receives it, for the relationship with that Guest, for any engagement terms and confidentiality owed to that Guest, and for revoking the link when it is no longer needed.
Guests who use the Service are bound by these terms, including the Acceptable use section. Anyone who holds a link may be able to join, so treat links and passcodes as confidential and never post them publicly.
14. Your content
You or your Organization keep ownership of Your Content. You grant Eterlio a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, transcribe, analyse, display and back up Your Content, and to share it with the service providers named in our Privacy Policy, only as needed to provide, secure, maintain, support and improve the Service for you and to comply with the law. The licence ends when Your Content is deleted from the Service, except for copies kept in routine backups for the period stated in our Privacy Policy or kept because the law requires it.
We do not use Your Content to train artificial intelligence models, and we do not sell it. We may create and use aggregated or de-identified statistics about how the Service is used, which do not identify you, your Organization or any person described in Your Content.
You are solely responsible for Your Content and for having every right, licence and consent needed to put it into the Service. The Service is not an archive or system of record. Keep your own copies of anything important; we are not responsible for any loss, corruption or deletion of Your Content.
We may remove or disable access to any content that we reasonably believe breaks these terms or the law, or that puts the Service, other users or third parties at risk, and we may report it to the authorities where required.
15. Acceptable use
You must not use the Service, or help anyone else use it, to:
- break any law or regulation, or infringe anyone's intellectual property, privacy, confidentiality or other rights;
- fabricate, alter or prepare false evidence, documents or testimony, coach a witness to give untrue evidence, or otherwise deceive or obstruct any court, tribunal, regulator or investigation;
- present any simulated result or AI Output as a real judgment, ruling, order, court record, legal opinion or official document, or impersonate a judge, court officer, lawyer, institution, Eterlio or any other person;
- harass, threaten, defame, intimidate or discriminate against anyone, including witnesses, parties, students and other participants, or upload sexual content involving minors, extremist content or content that promotes violence;
- upload personal data of other people without a lawful basis, or any real material in breach of the Real case files section;
- record or capture anyone without the notice and consent the law requires, or share recordings, transcripts or materials outside the purpose for which they were made;
- disrupt live hearings, lectures or meetings, join sessions you were not invited to, or share links and passcodes with people who should not have them;
- try to manipulate, jailbreak or inject instructions into the AI features to produce unlawful, harmful or prohibited output, or to extract system prompts, models or other users' data;
- access or attempt to access accounts, Organizations, content or systems that are not yours, probe or test the security of the Service without our written permission, or upload malicious code;
- scrape, crawl, copy, download in bulk, decompile, reverse engineer or create derivative works of the Service, or use it or its AI Output to build or train a competing product or model;
- get around seat limits, credit limits, usage limits, plan restrictions, country restrictions or any other technical or commercial control, or share accounts or seats;
- place an unreasonable load on the Service, use bots or automated access we have not approved, or send spam or bulk invitations;
- resell, sublicense, rent, white label or provide the Service to third parties without our written agreement.
We may investigate any suspected breach, and we may suspend or close accounts, remove content and cooperate with law enforcement, courts and regulators without notice to you where the law allows.
16. Our intellectual property
The Service and everything in it that is not Your Content, including the software, AI prompts and configurations, simulated characters, scenarios, case files, courtroom designs, illustrations, voices, text, the JuryForge name and logo, and all related intellectual property rights, belong to Eterlio or its licensors and are protected by law.
Subject to these terms and to paying any fees due, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Service for your own internal purposes, or the internal purposes of your Organization, while your account is active. All rights not expressly granted are reserved. You may use AI Output for your own lawful purposes, subject to these terms and to the rights of others.
17. Feedback
If you send us ideas, suggestions, bug reports or other feedback, you give us a perpetual, irrevocable, worldwide, royalty-free right to use, change and include it in our products and services without any obligation or payment to you.
18. Third-party services
The Service relies on third parties for payments, artificial intelligence, email, storage, sign in and other functions, as listed in our Privacy Policy. Their own terms may also apply to you. We are not responsible for third-party services, websites or content, or for their failures, outages, changes or charges, and a link to a third party is not an endorsement.
19. Plans, fees and payments
Paid plans are charged per seat, or as otherwise shown, at the prices and for the billing period (such as monthly, quarterly or yearly) displayed when you subscribe. Payments are processed by Stripe or Paystack under their own terms, and we do not store full card numbers.
Subscriptions renew automatically at the end of each billing period until cancelled. By subscribing you authorize us and our payment providers to charge your chosen payment method for every renewal, every seat added, and every other charge you incur, without asking you each time.
Prices do not include taxes, levies, duties, bank charges or currency conversion fees, which you must pay in addition. Where an Organization pays for its members, the Organization is responsible for all charges for its seats; where members pay for themselves, each member is responsible for their own charges.
We may change our prices. A price change for an existing subscription takes effect from your next renewal after we give you at least 30 days' notice. If you do not agree, cancel before the renewal.
20. Credits, top-ups and discount codes
Some features use credits or prepaid top-ups. Credits are a licence to use specific features of the Service, not money, stored value or a deposit. They have no cash value, cannot be transferred, sold or exchanged, may expire as stated when they are issued or bought, and are forfeited when the account or Organization that holds them is closed.
Discount codes and promotional offers apply only on the terms stated with them, have no cash value, cannot be combined unless we say so, and may be withdrawn or corrected at any time, including when they were issued or applied in error.
21. Cancellations, refunds and failed payments
You can cancel a subscription at any time. Your plan stays active until the end of the period you have already paid for and then ends. Except where the law requires otherwise or we agree in writing, all fees, credits and top-ups are non-refundable, including for partial periods, unused seats, unused credits and features you did not use.
If a payment fails, is reversed or is charged back, we may retry the charge, suspend or downgrade your plan, limit access to Your Content or features, and recover any amount owed together with reasonable collection costs. Raising a chargeback for a valid charge is a breach of these terms.
22. Free plans, trials and early features
Free plans, trials, early access programmes and features marked beta, preview or early are provided for evaluation, may contain errors, may have lower limits, and may be changed or withdrawn at any time without notice or liability. Unless you cancel before a trial ends, it may convert to a paid plan at the price shown when you started it.
23. Availability, support and changes to the Service
We work to keep JuryForge available, secure and reliable, but we do not promise that it will be uninterrupted, error free, compatible with every device or network, or free of harmful components. Live audio, video and AI features depend on your connection, device, browser and third parties outside our control. Unless a signed agreement says otherwise, no service level, uptime or response time is guaranteed.
We may add, change, limit, suspend or remove any feature, plan, content or part of the Service at any time, including for maintenance, security, legal or commercial reasons. Where we remove a paid feature that is central to your plan, we will give reasonable notice where we can.
24. Suspension and termination
You can stop using the Service at any time and ask us to close your account. An Organization owner can close the Organization, which ends access for all of its members.
We may suspend, restrict or close any account, Organization, link or session immediately and without notice if we reasonably believe that you have broken these terms, failed to pay, put the Service, other users or third parties at risk, or created legal exposure for us, or if the law or a competent authority requires it. We may also end the Service for free accounts at any time.
When an account or Organization ends, your right to use the Service ends immediately. We may delete Your Content 30 days after closure, or sooner where the law requires it, and we are not obliged to keep it, return it or export it after that. Fees already paid are not refunded unless the law requires it. Sections that by their nature should survive, including those on simulation, AI Output, real case files, payments owed, intellectual property, disclaimers, limitation of liability, indemnity and disputes, survive termination.
25. Disclaimer of warranties
To the fullest extent the law allows, the Service, all AI Output and all content in it are provided "as is" and "as available", with all faults and without any warranty, condition or promise of any kind, whether express, implied or statutory.
Eterlio disclaims every implied warranty and condition, including those of satisfactory quality, merchantability, fitness for a particular purpose, accuracy, completeness, title and non-infringement, and any warranty arising from a course of dealing or usage of trade. Eterlio does not warrant that the Service will help you win any case, pass any examination or assessment, succeed in any competition, or achieve any other result.
26. Limitation of liability
To the fullest extent the law allows, Eterlio is not liable to you or anyone claiming through you, whether in contract, tort including negligence, breach of statutory duty or otherwise, for any:
- indirect, incidental, special, consequential, exemplary or punitive loss or damage;
- loss of profits, revenue, fees, business, contracts, clients, goodwill, reputation or anticipated savings;
- loss, corruption or disclosure of data or content, or loss of confidentiality or legal professional privilege;
- adverse outcome of any real case, matter, transaction, examination, assessment or competition;
- fine, penalty, sanction, disciplinary or regulatory action, or claim by a client or third party;
- loss arising from your reliance on AI Output or simulated results, or from your decision to put real material into the Service.
To the fullest extent the law allows, the total liability of Eterlio for all claims arising out of or relating to these terms or the Service, in aggregate, is limited to the greater of the fees you actually paid to Eterlio for the Service in the 12 months before the event giving rise to the first claim, and 100 United States dollars or its equivalent in Ghana cedis. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited or excluded by law.
27. Indemnity
You will defend, indemnify and hold harmless Eterlio and its officers, directors, employees, contractors and service providers from and against all claims, demands, proceedings, losses, damages, fines, penalties, liabilities, costs and expenses, including reasonable legal fees, that arise out of or relate to:
- Your Content, including any real case files, client information or personal data you put into the Service;
- your use of AI Output or simulated results, including anything you file, serve, submit, publish or send;
- any recording, transcript or capture you start or share;
- your breach of these terms, of the law, or of any professional, confidentiality or data protection obligation;
- the acts and omissions of members, students and Guests you or your Organization admit to the Service.
We may take control of the defence of any claim covered by this indemnity at your cost, and you will cooperate with us. You must not settle any such claim without our written consent.
28. Privacy and data protection
Our Privacy Policy and Cookie Policy explain how we handle personal data and use cookies, and form part of these terms. For personal data that an Organization or user puts into the Service as part of its own work, such as clients, parties, witnesses and students, that Organization or user is the data controller and Eterlio processes the data on its behalf and on its instructions as set out in these terms.
As controller, you are responsible for having a lawful basis, giving any notices and obtaining any consents required under the Data Protection Act, 2012 (Act 843) and any other law that applies to you. Organizations that need a data processing agreement can ask us for one.
29. Security
We use reasonable technical and organizational measures to protect the Service and Your Content, but no system is completely secure. To the extent the law allows, we are not liable for unauthorized access or loss caused by events outside our reasonable control, or by your failure to keep your account, devices, links and passcodes secure. If we become aware of a security breach affecting your personal data, we will notify you and the authorities where the law requires.
30. Governing law and disputes
These terms, and any dispute or claim arising out of or relating to them or the Service, including non-contractual disputes, are governed by the laws of the Republic of Ghana.
Before starting any proceedings, you agree to contact us in writing and try in good faith to resolve the dispute for at least 30 days. Either party may then propose mediation under the Alternative Dispute Resolution Act, 2010 (Act 798). If the dispute is not resolved, the courts of Ghana sitting in Accra have exclusive jurisdiction, and you submit to that jurisdiction. Eterlio may still seek urgent injunctive or other relief in any court to protect its intellectual property, systems or users.
To the extent the law allows, claims must be brought individually and not as part of any class or representative action, and any claim against Eterlio must be started within one year after the facts giving rise to it arose, or it is barred.
31. Changes to these terms
We may update these terms from time to time. When we make a material change, we will update the date at the top, tell you in the app or by email, and give you at least 14 days before it takes effect, unless the change is required by law or is needed urgently for security or to prevent misuse, in which case it may take effect immediately.
We may ask you to accept updated terms before you continue using the Service. If you do not agree with a change, you must stop using the Service and cancel your subscription before the change takes effect. Continuing to use the Service after a change takes effect means you accept it.
32. General
- Entire agreement. These terms, together with the documents they refer to, are the entire agreement between you and Eterlio about the Service and replace all earlier understandings. You have not relied on any statement that is not set out in them.
- Severability. If any part of these terms is found invalid or unenforceable, it will be enforced to the maximum extent possible and the rest will remain in full force.
- No waiver. A failure or delay in enforcing any right is not a waiver of it.
- Assignment. You may not assign or transfer your rights or obligations without our written consent. We may assign or transfer ours, including as part of a merger, acquisition, reorganization or sale of assets.
- Events beyond control. We are not liable for any delay or failure caused by events beyond our reasonable control, including power or network outages, failures of hosting, payment or AI providers, cyber attacks, strikes, natural disasters, epidemics, war, civil unrest and acts of government.
- Notices. We may give you notices by email to the address on your account or in the app. You must send legal notices to us in writing at the email address below.
- Relationship. Nothing in these terms creates a partnership, joint venture, agency, employment or fiduciary relationship between you and Eterlio.
- Third parties. Except for the indemnified persons named in the Indemnity section, no one other than you and Eterlio has any right to enforce these terms.
- Language. These terms are written in English, which is the controlling language. Headings are for convenience only and do not affect meaning.
